Tax Associate – Seattle, WA

Dorsey & Whitney LLP is seeking an experienced Tax Associate to join our Seattle office. Dorsey has tax attorneys based in several locations, including London, Minneapolis, Palo Alto, and Seattle. Our tax attorneys are experts at identifying and resolving tax issues related to mergers & acquisitions, spinoffs and corporate restructurings, debt and equity financings, entity formation, equity compensation, partnerships and LLCs, state and local tax matters and international taxation, including cross-border investments, international tax planning and technology transfer and licensing arrangements. We also have a national Tax Controversy and Litigation group that represents individuals, businesses, governmental entities and nonprofit organizations in all phases of tax disputes.

This associate will work on a wide range of federal and state tax matters, including international tax and cross-border transactions, mergers and acquisitions, financings and general corporate and partnership matters. Specifically, this associate will handle the following types of tasks:

- advising on domestic and cross-border structuring and related transactional matters;

- preparing regulatory submissions;

- drafting LLC, partnership and joint venture agreements; and

- researching and preparing written advice related to domestic and cross-border transactions and investments.

The following qualifications are required:

- 1-3 years of tax law experience, including experience with mergers and acquisitions, entity formation, corporate restructurings and reorganizations and general corporate and partnership matters.

- Strong academic performance

- Excellent research and writing skills

The following qualifications are preferred:

- Experience with international tax, cross-border transactions and financings.

- Washington State bar admission
